An exempted limited partnership (ELP) is the most common vehicle for closed-ended funds including private equity, venture capital and real estate funds, they are also used for open-ended funds. An ELP has many similarities to its Delaware equivalent vehicle but an ELP is not a separate legal person and for this reason, it is popular with managers and investors in a number of jurisdictions. 在开曼群岛设立私募股权类基金（“PE基金”）最常见的形式为豁免有限合伙企业（Exempted Limited Partnership，“开曼ELP”）设立开曼ELP至少需要：一名或一名以上普通合伙人（General Partner，“GP”），普通合伙人对合伙企业债务承担无限责任；以及一名或一名以上有限合伙人（Limited Partner，“LP”），有限合伙人以其对开曼ELP的认缴出资额为限承担有限责任，除非有限合伙协议另行约定或《豁免有限合伙法》中特别明确的事项，有限合伙人不需要对超出其认缴出资额限额部分的债务和义务承担责任。满足条件的开曼普通合伙人可根据开曼SIBL（Securities Investment Business Law）作为“豁免人士”获得持牌豁免，否则，必须事先取得CIMA颁发的牌照。香港或者新加坡等地注册的持牌基金管理人也可以出任开曼股权基金的管理人。
