The Cayman Islands Segregated Portfolio Company (“SPC”) is governed by Part XIV of the Cayman Islands Companies Law (2016 Revision) (the "Companies Law"), which permits any exempted company to be registered as a SPC. A SPC, which is a single legal entity, may create one or more segregated portfolios which legally separates each portfolio’s assets and liabilities from other portfolios, as well as from the SPC’s general assets and liabilities. The assets are only made available to the shareholders and creditors of the specified portfolio and may not be used to meet liabilities of other portfolios.
SPCs are commonly used by investment funds or mutual funds structures. Examples of entities and activities that have benefited from SPCs are multi-class hedge funds and umbrella funds, which are now able to address cross liability problems among assets and liabilities in the structure. Other examples include multiple tranche debt issue vehicles, property development and securitisation and derivative transactions.
