The Cayman Islands Limited Liability Company (LLC) law was recently enacted in July of 2016 to protect shareholders by creating limited liability companies. This law was modelled after a similar Delaware law in the United States. An LLC is a hybrid entity incorporating characteristics of the well-recognised features of Cayman’s successful exempted company and exempted limited partnership. Unlike a partnership, it has separate legal personality, yet far greater flexibility than a company. LLCs are proving to be popular for investment fund and private equity structures, as well as corporate transactions, including joint ventures, special purpose vehicles and holding companies.
